SaveNet End-User Terms of Service
These End-User Terms of Service ("Terms") constitute a binding and enforceable agreement between Clearpath Commerce LLC, doing business as SaveNet ("SaveNet," "we," "us," or "our") and you ("User," "You") each time you use the SaveNet Services. User and SaveNet shall collectively be referred to as the "parties" and each as a "party."
By accepting these Terms electronically or by using the Services, you agree to comply with these Terms. Please read them carefully. If you do not agree to these Terms, you may not use the Services.
ARBITRATION NOTICE FOR USERS IN THE UNITED STATES
THESE TERMS CONTAIN AN ARBITRATION CLAUSE AND A WAIVER OF RIGHTS TO BRING A CLASS ACTION AGAINST US. EXCEPT FOR CERTAIN TYPES OF DISPUTES MENTIONED IN THE ARBITRATION SECTION, YOU AND SAVENET AGREE THAT DISPUTES BETWEEN YOU AND SAVENET WILL BE RESOLVED BY MANDATORY BINDING ARBITRATION, AND YOU AND SAVENET WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. YOU HAVE THE RIGHT TO OPT OUT AS DETAILED BELOW.

2.1. SaveNet provides a subscription-based digital platform that grants you access to features and services made available through our website and platform ("Services").
2.2. SaveNet will process subscription payments and provide access during your active subscription period. Monthly subscriptions automatically renew unless canceled prior to renewal.
2.3. SaveNet reserves the right to modify, update, suspend, or discontinue features at any time without prior notice.
2.4. The Services are provided on an "as available" basis. SaveNet does not guarantee uninterrupted availability.
2.5. Subscription charges may appear on your billing statement as "SaveNet" or our payment processor's name.
3. Account Registration and Requirements
3.1. To use the Services, you must create an account and provide accurate, complete, and current information.
3.2. By using the Services, you represent and warrant that:
- You are at least 18 years old (or the age of majority in your jurisdiction)
- You have the legal capacity to enter into this agreement
- All information provided is truthful and accurate
- You will not use the Services for unlawful or abusive purposes
3.3. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
3.4. You must notify SaveNet immediately of unauthorized use or security breaches.
4. Restrictions of Use
You agree to comply with all applicable laws and regulations. You may not:
(i) Access the Services through unauthorized means
(ii) Circumvent usage restrictions
(iii) Share account credentials
(iv) Attempt to reverse engineer or hack the platform
(v) Use the Services for unlawful, infringing, harmful, or abusive purposes
(vi) Disrupt or impair the Services
(vii) Use bots or automated systems without authorization
(viii) Copy or distribute content without permission
(ix) Use the Services to build a competing service
5. Subscription and Payments
5.1. By subscribing, you authorize SaveNet to charge your payment method at the beginning of each billing cycle.
5.2. Subscription fees are charged in advance.
5.3. You are responsible for maintaining valid payment information.
5.4. If payment fails, SaveNet may suspend or terminate access.
5.5. SaveNet may change subscription pricing with 30 days' notice.

Cancellation takes effect at the end of your current billing period.
5.7. Refunds are governed by SaveNet's Refund Policy.
5.8. Your payment provider may charge additional fees, for which SaveNet is not responsible.
6. Refund Policy
6.1. SaveNet offers refunds in accordance with applicable law and our Refund Policy.
6.2. Refunds may be available for:
- Unused portions of subscriptions canceled within 7 days
- Technical issues preventing access not resolved within 48 hours
- Failure to provide Services as described
6.3. Refunds are not available for:
- Subscriptions substantially used
- Daily subscriptions after activation
- Chargebacks initiated without prior contact

Approved refunds are processed within 10–14 business days.
6.5. Initiating a chargeback may result in account suspension.
7. Your Data
7.1. SaveNet may collect and process certain Personal Data including your name, email address, IP address, subscription details, usage information, contact details, and billing information, as described in our Privacy Policy.
7.2. You retain ownership of your Personal Data. You grant SaveNet a limited license to process data as necessary to provide the Services.
7.3. SaveNet processes Personal Data in accordance with applicable laws including GDPR and CCPA.
8. Intellectual Property Rights
8.1. SaveNet owns all rights, title, and interest in the Services, platform, and related technology.
8.2. You are granted a limited, non-exclusive, non-transferable license for personal, non-commercial use during your active subscription.
8.3. You may not reproduce, distribute, or create derivative works without authorization.
9. Warranties; Disclaimers; Limitation of Liability
9.1. THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.
9.2. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAVENET SHALL NOT BE LIABLE FOR:
- LOST PROFITS
- LOSS OF DATA
- INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
9.3. SAVENET'S TOTAL LIABILITY SHALL NOT EXCEED THE TOTAL SUBSCRIPTION FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.
10. Termination
10.1. You may terminate your use at any time by canceling your subscription.
10.2. SaveNet may suspend or terminate access if:
- You breach these Terms
- You engage in unlawful conduct
- Payment fails
- Required by law
- SaveNet discontinues the Services
10.3. Upon termination, access immediately ceases.
10.4. Provisions relating to payments, intellectual property, liability, and dispute resolution survive termination.
11. Dispute Resolution and Arbitration
11.1. For U.S. users, disputes shall be resolved by binding arbitration in Wilmington, Delaware, before one arbitrator.
11.2. Arbitration will be administered under applicable arbitration rules.
11.3. You may opt out of arbitration within 30 days of first accepting these Terms by written notice to:

12. General Provisions
12.1. These Terms constitute the entire agreement between you and SaveNet.

12.5. You may not assign your rights. SaveNet may assign without restriction.
12.6. The parties are independent contractors. Nothing creates a partnership or joint venture.
